Branday Terms of Service

EFFECTIVE DATE: JUNE 16, 2025

Welcome to Branday! These Terms of Service (“Terms”) govern your access to and use of Branday’s AI-powered platform and design services (the “Services”), operated by Branday LLC. (“Branday,” “we,” “our,” or “us”). By accessing or using the Services, you agree to be bound by these Terms.

1. Overview of Services

Branday offers two integrated service tiers:

  • Branday AI Platform – A web-based SaaS platform offering AI tools for brand management, design guidance, creative collaboration, and automation.
  • Design Concierge – A design-as-a-service (DaaS) offering that includes access to a professional team for on-demand and managed design services.

2. User Eligibility

You must be at least 18 years of age to use our Services. By using Branday, you represent and warrant that you have the legal authority to enter into these Terms.

3. Account Registration

You may need to register for an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. License and Acceptable Use

Subject to these Terms, Branday grants you a limited, non-exclusive, non-transferable license to use the Services for your business or personal use. You agree not to:

  • Use the Services for any unlawful purpose.
  • Reverse engineer, modify, or resell any part of the AI tools or content.
  • Upload or transmit any malicious code.

5. Ownership and Intellectual Property

All content, including designs, templates, AI-generated outputs, and underlying software, is the property of Branday or its licensors. You retain ownership of your uploads and inputs. Branday retains ownership of tools and any custom AI models developed.

6. Design Concierge Engagements

Design service packages are scoped per client and may be subject to separate service agreements. All final assets delivered remain the intellectual property of the client upon full payment, except for any proprietary tools or templates.

7. Payments and Billing

Branday offers monthly and annual billing for AI SaaS subscriptions and custom pricing for DaaS. Fees are non-refundable unless required by law or stated otherwise. Late payments may incur interest or service suspension.

8. Confidentiality and Data Use

We respect your data. Branday will not share, sell, or reuse your uploaded materials for commercial purposes without consent. Please refer to our separate Privacy Policy for more details.

9. Termination

You may cancel your account at any time. Branday reserves the right to suspend or terminate access to Services for violations of these Terms.

10. Limitation of Liability

Branday provides Services “as-is.” We do not guarantee that the Services will be uninterrupted or error-free. In no event shall Branday be liable for any indirect, incidental, or consequential damages.

11. Dispute Resolution

Any disputes shall be governed by the laws of the State of California. Disputes will be resolved through binding arbitration in San Francisco County, unless prohibited by law.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes means you accept the new Terms.
